PREVENTION OF CORRUPTION & CONFLICTS OF INTEREST

PURPOSE OF THIS CODE OF CONDUCT:

The TYREWORX Prevention of Corruption & Conflict of Interests Code is intended:

to provide measures to prevent and combat corruption, corrupt activities and any conduct that could amount to a conflict of interest between employees and the employer, as well as other parties involved in a business relationship with the employer;
to define what conduct in the workplace will constitute corruption, corrupt activities and conflicts of interest;
to provide for the offences of corruption and offences relating to corrupt activities in the workplace.
to place a duty on employees to report certain conduct.

NO BENEFITS MAY BE RECEIVED BY THE EMPLOYEE OR ANY OTHER PERSON:

Without the prior written approval of the employer, no employee may directly or indirectly accept or agree to accept offers of any reward, gift, gratification or hospitality from person other than what is due to the employee by the employer as remuneration or reward in terms of the contract of employment.

This prohibition applies both to a benefit for himself / herself and for the benefit of any other person, natural or juristic.

CONSEQUENCES OF CONTRAVENTION OF THIS CODE:

Acts of Corruption and Conflict of Interest are generally accepted as a serious enough offence to merit possible dismissal.

An employee who engages in conduct in contravention of these prohibitions will be subject to disciplinary action that may result in dismissal.

Depending on the nature of the conduct, such employee also be subject to criminal and/or civil action.

UNDERTAKING BY EMPLOYER:

The employer confirms that the content of the TYREWORX CODE OF CONDUCT – PREVENTION OF CORRUPTION has been brought to the attention of and explained in understandable terms & language to every employee and that each employee has indicated that he/she understands the purpose and content thereof.

1. PROMOTION ORGANISER‍‍‍
• The Promotion is organised by Bridgestone South Africa (Pty) Ltd (Registration Number 1930/002801/07) (the “Promoter”), a company incorporatedunder the laws of the Republic of South Africa, with its principal place of business at 6 Ridge Road, Vorna Valley, Midrand, South Africa. The Promotion will run through participating authorised Bridgestone dealer networks across South Africa.

‍2. PROMOTION PERIOD
‍‍‍• The Promotion will run from 15 May 2026 until 30 June 2026 at 23:59 (South African Standard Time) (“the “Promotional Period”). Only qualifying purchasesmade during the Promotional Period will be eligible to participate. Purchases made before or after the Promotional Period will not qualify.‍‍‍‍‍‍

‍3. ELIGIBILITY‍‍‍
• This promotion is open to consumers who meet the following criteria:• Participants must purchase two (2) or more Bridgestone Passenger or SUV tyres of size 17 inches or larger.
• Purchases must be made from participating South African authorised dealers at• Tyremart; • Tyreworx • Employees and directors of Bridgestone South Africa (Pty) Ltd, its affiliates, its advertising agencies, participating dealers, and their immediate families are not eligible to enter the competition. For purposes of this clause, “immediate family members” includes a spouse or life partner,parent, child, sibling, or dependent of the relevant person.
• The promotion is open only to residents of South Africa, Swaziland and Lesotho aged 18 years and older in possession of a valid IdentificationDocument, card or a valid permanent residency in participating countries.

‍4. HOW TO QUALIFY‍‍‍
• To qualify for entry into the promotion, participants must:• Purchase two (2) or more Bridgestone 17” or larger tyres during the Promotional Period from a participating dealer.
• Receive a Gift with Purchase (“GWP”) consisting of a Tracker Tag (while stocks last).
• Participants must then complete the grand prize entry process through Online entry or WhatsApp entry methods.

• Gifts are not transferable, exchangeable, or redeemable for cash.
• The Promoter reserves the right to substitute the gift with another item of similar value should circumstances require.

‍6. GRAND PRIZE‍‍‍
• Participants who successfully enter the competition will stand a chance to win the Grand Prize, which is:

• The vehicle prize includes the standard manufacturer specifications and will be awarded in accordance with South African competition regulations.
• The prize: • Is not transferable.
• Cannot be exchanged for cash.
• Will be awarded to the verified winner only.
• The prize does not include any extras such as fuel, additional accessories, and insurance.
• The prize cannot be exchanged for any other model or make within the vehicle range, and the winner does not have the right to change the specificationsof the vehicle.
• The winner is liable for any associated costs in taking ownership of the vehicle.
• To claim the Vehicle prize, the winner must produce an identity document.

‍7. WINNER SELECTION AND ANNOUNCEMENT‍‍‍
• Winners will be selected through a random draw conducted after the Promotional Period has ended.

TERMS AND CONDITIONS

Organizers:

This organizers and promoters of this promotion are MICHELIN TYRE COMPANY SOUTH AFRICA (PTY) LTD (“MICHELIN”) and TYREMART TYRES AND ACCESSORIES (PTY) LTD (“TYREMART”).

Promotion Rules:

Promotion is open to persons aged 18 years or over residing in South Africa
The Promotion applies to “Cash Customers” only – Fleets, Businesses & Account Customers are excluded
Participation requires the purchase and fitting (at the Tyremart or Tyreworx store where purchased) of a set of 4 or 5 BFGoodrich KO3 tyres (in respect to the Free Rugby Ball and Chance-to-Win Braai promotion) or a set of 4 or 5 BFGoodrich KO2 tyres (in respect to the Chance-to-Win Braai promotion only)
Participation is automatic upon the customer having provided correct names, cell phone number & vehicle registration number to a Tyremart or Tyreworx representative, for inclusion on the purchase invoice.
Participants are required to retain their invoice and agree that they may, at any time on request of MICHELIN and/or TYREMART, by required to produce the original invoice.
Free Rugby balls are limited to one per invoice, irrespective of the number of tyres purchased.
The promotion starts on 18 November 2024 and ends by 31st January 2025.
The draw to select the winner of the “Braai-with-Legends” will be done during January 2025.
The winner will be contacted on the cell phone number recorded on the winning invoice. Should it not be possible to make contact with the winner within 24 hours, the Organizers reserve the right to consider this winning draw void and to select another winner.
Rugby balls are limited, and promotion is subject to stock availability
Rugby balls are not kept at the Tyremart & Tyreworx stores.
The balls will be delivered to the stores where qualifying sales are made.
Tyremart Head Office Marketing Department will endeavour to deliver the balls with 7 (seven) working days of the purchase having been made.
Qualifying customers will be contacted on the cell phone number they have provided; and they will be required to collect their prizes from the store where the tyres were purchased
MICHELIN employees and their authorized distributors/promotional agencies are not allowed to participate in the competition.
TYREMART and MICHELIN’s decision in all matters to do with the promotion will be final and no correspondence will be entered into.

Braai with the Legends:

The anticipation is that the winner will be able to invite up to 10 persons (himself / herself included) to be joined for a home-based braai with the Rugby Legends.
Although it is the intention that all five Rugby Legends will attend, the organizers do not guarantee that all five Rugby Legends will, in fact, be available to attend.
The organizers reserve the right to inspect the premises and, if they are determined not to be suitable, an alternative venue may be provided by the organizers.
The organizers shall not be required to provided reasons as to why the premises are not deemed suitable.

General Terms & Conditions:

By entering this promotion, the participant is indicating his/her agreement to be bound by the entire terms and conditions of this promotion.
The prizes cannot be exchanged with options outside the provided platforms/options.
